These Terms and Conditions ("Terms") govern your use of this website and your engagement of services from LR Auditing & Consulting ("LR Auditing," "we," "us," or "our"). By using this website, submitting an enquiry, booking a consultation, or engaging our services, you agree to these Terms.
1. About LR Auditing & Consulting
LR Auditing & Consulting provides internal audit, business assurance, financial management support and statutory compliance services to businesses across South Africa. Our work is carried out with reference to the IIA Global Internal Audit Standards (effective 9 January 2025) issued by the Institute of Internal Auditors, applicable South African accounting and financial reporting standards, and the requirements of the Companies Act 71 of 2008, as relevant to each engagement.
2. Complimentary Consultation
We offer an initial, complimentary one-hour strategic consultation to assess your business needs. This consultation:

Does not constitute a formal engagement, audit opinion, assurance conclusion, or financial advice

Is intended solely to understand your requirements and recommend an appropriate, tailored service offering

Does not create a client relationship or contractual obligation until a formal engagement letter or proposal has been agreed and accepted in writing by both parties
3. Engagement Terms
Once a service is agreed, a separate engagement letter, proposal, or service agreement will set out the specific scope of work, deliverables, timelines, responsibilities and fees for that engagement. Where there is any conflict between these Terms and a signed engagement letter, the engagement letter will prevail for that specific engagement.
Our services are performed with reasonable skill, care and diligence, in accordance with applicable professional standards. However:

Internal audit and business assurance engagements are not statutory or external audits and do not constitute an audit opinion under the Auditing Profession Act or Companies Act unless expressly stated in the engagement letter

Recommendations provided are based on the information made available to us at the time of the engagement

Management remains responsible for the implementation of recommendations and for the accuracy and completeness of information provided to us
4. Client Responsibilities
To enable us to deliver an effective engagement, you agree to:

Provide accurate, complete and timely information and access to relevant records, systems and personnel

Notify us promptly of any changes that may affect the scope or basis of the engagement

Ensure that any statutory filings, submissions or decisions based on our recommendations are reviewed and approved by an authorised representative of your business before implementation
5. Fees and Payment

Indicative pricing published on our website reflects starting rates only. Final pricing is confirmed in a written proposal following an assessment of your business requirements, transaction volume and scope of work.

Fees, invoicing frequency and payment terms will be set out in the engagement letter or proposal.

Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. We reserve the right to suspend services for overdue accounts, subject to reasonable prior notice.

All fees are exclusive of VAT unless stated otherwise.
6. Confidentiality
We treat all information shared with us as confidential and will not disclose it to third parties except:

Where required by law, regulation, or a lawful request from a competent authority

Where necessary to comply with professional or regulatory obligations

7. Intellectual Property
All content on this website, including text, graphics, logos and reports prepared as part of an engagement, remains the intellectual property of LR Auditing & Consulting unless otherwise agreed in writing.Deliverables provided to a client as part of a paid engagement may be used by that client for their internal business purposes but may not be reproduced, resold or distributed to third parties without our prior written consent.
8. Limitation of Liability
To the maximum extent permitted by South African law:

LR Auditing & Consulting's liability for any claim arising from an engagement is limited to the fees paid for that specific engagement.

We are not liable for indirect, consequential or special damages, including loss of profit or business opportunity, arising from the use of our services or recommendations.

Our services are based on information provided by the client. We are not responsible for inaccuracies arising from incomplete, false or misleading information supplied to us.
Nothing in these Terms limits liability that cannot be excluded under South African law, including liability for fraud or gross negligence.
9. Independence and Professional Conduct
LR Auditing & Consulting provides independent, objective services. Where a conflict of interest is identified in relation to a proposed engagement, we will disclose this to the client and take appropriate steps in line with professional standards before proceeding.
10. Termination
Either party may terminate an ongoing engagement by providing written notice, as specified in the applicable engagement letter. Fees for work performed up to the date of termination remain payable.
11. Website Use
This website is provided for general information purposes. While we take reasonable care to keep information accurate and up to date, we make no warranties, express or implied, about the completeness or accuracy of website content, and it should not be relied upon as a substitute for professional advice specific to your circumstances.
12. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or an engagement will be subject to the jurisdiction of the South African courts, unless the parties agree in writing to resolve the matter through mediation or arbitration.
13. Changes to These Terms
We may update these Terms from time to time. The updated version will be published on this page with a revised "last updated" date. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms.
